Terms of Service

Business customers

BuildHype is a service intended exclusively for businesses, professionals, traders and other parties acting in the course of their business or professional activities.

The client represents that it uses BuildHype for professional purposes and not as a consumer.

1. Contract and provider

BuildHype services are provided by Schermo 33 S.r.l., Via Prisciano 72, 00136 Rome (RM), Italy, VAT No. IT08373631004.

By creating an account, starting a trial, purchasing a plan or using BuildHype, the client accepts these Terms and the specific conditions shown on the pricing page, at checkout or in the applicable documentation.

2. Access and license to use

For the duration of the relationship and subject to these Terms, Schermo 33 S.r.l. grants the client a limited, non-exclusive, non-transferable and revocable right to use BuildHype for its business activities.

The client may authorize collaborators within the limits of the purchased plan and is responsible for activities carried out through its account and associated credentials.

3. Permitted use and restrictions

The client may not use BuildHype for unlawful purposes, abuse the platform, attempt unauthorized access, interfere with the service, distribute malicious code, circumvent technical or commercial limits, resell access without authorization, or use the service to infringe third-party rights.

Except where mandatorily permitted by law, decompiling, disassembling, reverse engineering or attempting to reconstruct BuildHype source code or proprietary logic is prohibited.

4. Plans, features and free trial

Available features depend on the selected plan. Limits may apply to the number of configurators, models, languages, collaborators and AI operations.

BuildHype may offer a free trial of 10 days. At the end of the trial, access to subscription features may be suspended until a plan is purchased.

5. Pricing, payments, renewal and cancellation

Applicable prices are those shown at the time of purchase. Subscriptions may be monthly or annual and may be managed through Stripe or, where applicable, Shopify.

Unless otherwise stated at checkout, subscriptions automatically renew for successive periods of the same duration until cancelled by the client.

Cancellation prevents the next renewal, but unless expressly stated otherwise or in cases of suspension under these Terms, the client retains access to plan features until the end of the period already paid for.

Amounts already charged are non-refundable except where mandatory law provides otherwise or BuildHype expressly states otherwise. Applicable taxes may be added to the price.

In the event of an upgrade, downgrade, billing-cycle change or payment-provider change, adjustments, prorations or other conditions shown to the client before confirmation of the change may apply.

If the client switches from one billing system or commercial provider to another, BuildHype may adjust the renewal date, remaining credit or plan access to avoid duplicate charges, in accordance with the conditions shown during the change process.

6. AI features and operations

Some plans include a defined number of AI operations. One AI operation consists of one user question and the corresponding AI response.

The client may purchase additional AI operation packages when available. Purchased packages do not expire and are used in accordance with the platform’s operating rules.

AI-generated responses are provided as support and do not replace the configurator’s structured rules. The client remains responsible for verifying content and product information.

7. Client content and data

The client retains rights to content entered into the platform, including text, images, product data and configurations.

The client grants BuildHype the technical rights strictly necessary to host, process, transform and display such content for the purpose of providing the service.

The client warrants that it has the right to use uploaded content and that it complies with applicable law, including personal data protection requirements.

8. Third-party services and integrations

BuildHype may integrate with external services such as Shopify, Stripe, Google, Microsoft, e-commerce platforms, AI providers, email services, hosting and CDNs. Such services may be subject to their own terms.

The availability of features such as cart, quote requests, authentication, payment or synchronization may depend on the external provider’s APIs, permissions and technical capabilities.

9. Suspension and termination

BuildHype may suspend or limit access in the event of non-payment, breach of these Terms, security risk, unlawful use, abuse of the platform or where necessary to comply with legal obligations.

In the event of ordinary subscription cancellation, the right to use plan features continues until the end of the period already paid for. At the end of that period, or in the event of immediate termination permitted under these Terms, the right to use subscription features ends.

Obligations that by their nature are intended to survive termination remain in effect, including obligations relating to amounts due, intellectual property, confidentiality, data protection and liability.

10. Availability, changes and maintenance

BuildHype may update, improve or modify the platform for technical, operational, security or regulatory reasons. Periods of maintenance or temporary unavailability may occur.

11. Warranties and limitation of liability

BuildHype is provided as a software service and does not guarantee that every third-party integration will always be available or remain unchanged.

To the extent permitted by law, Schermo 33 S.r.l. is not liable for indirect damages, loss of profit, loss of business opportunities, or damages arising from third-party services, incorrect configurations entered by the client or improper use of the platform.

Nothing in these Terms limits liabilities that cannot be excluded or limited under applicable law.

12. Intellectual property

BuildHype, the software, design, trademarks, documentation, interfaces and proprietary logic are owned by Schermo 33 S.r.l. or their respective licensors, except for content owned by the client or third parties.

13. Confidentiality

Each party undertakes to protect confidential information received from the other party and to use it only for purposes related to the contractual relationship, except where disclosure is required by law or the information is already lawfully public.

14. Changes to the Terms

These Terms may be updated to reflect changes to the service, operational needs or regulatory requirements. The version published on the website indicates the date of the latest update.

15. Governing law and jurisdiction

These Terms are governed by Italian law. Disputes will be subject to the court having jurisdiction under applicable law; where a contractual choice of forum between business parties is validly permitted, the courts of Rome will have jurisdiction.

16. Privacy, Cookies and data processing

Use of BuildHype is also subject to the Privacy Policy, the Cookie Policy and, when BuildHype processes personal data on behalf of the client, the Data Processing Agreement (DPA).
